What is a Preapproval? - Overview

The purpose of the pre-approval workflow is to enable the legal department of a shareholder, for example, to check and pre-approve a circular resolution. If the legal department approves the resolution, it is then forwarded to the relevant shareholder for voting and signing with the relevant message from the pre-approver.

A brief overview of the pre-approval process:

After you create a circular resolution, there are two options. You can either

(i) start the vote directly or

(ii) start the pre-approval process. In this case, the resolution remains in approval status and does not yet enter the voting process.  

Several pre-approvers can be selected per shareholder. If pre-approvers have been appointed for different shareholders, they will not see the name or decision of the others. See our FAQ on resolution settings. 

The persons who are requested to pre-approve will receive a notification by e-mail. The e-mail will take them to the decision and the attached documents, which they can check and either approve the decision or reject it and add a comment.

a) Approve: If all pre-approvers have approved the resolution, the status is set to "Approved". In this case, the initiator of the resolution receives a notification that all pre-approvers have approved the resolution.

b) Reject: If one of the pre-approvers rejects the resolution, the initiator receives a message that changes still need to be made. The initiator sees the respective comments of the pre-approvers and can adjust the decision. After the decision has been changed accordingly, the pre-approval process can be restarted. Only the initiator receives notification of the rejected application and the reason for this. 

Use of the comment function

People who give preliminary approval can add comments to justify their decision or provide additional information. This promotes transparency and facilitates communication between the parties involved.

The pre-approval workflow ensures that a decision or process is reviewed and approved by the relevant parties before it moves to the final approval stage. This contributes to transparent decision-making and enables structured collaboration in formal processes.
