How can I vote through Pooling/Trust?
By means of a pool or a trust, resolutions can be taken efficiently and mapped in the corresponding grouping at Fides. Whether there is a pool or a trust depends on the underlying legal relationship; from a technical point of view, the implementation works identically for Fides. In detail, the procedure is as follows:
Step 1: Create pool/trust
First go to the "Entity Management" menu bar on the left side and select the "Cap Table" feature. Then please click on the three-dot menu at "Share Classes" (right):
In the first step you can decide whether a pool or a trust should be created.
In the next step, you will be asked to give the pool (or the trust) a name and to name the pool leader (or trust holder). In addition, you can select here whether there is a vote binding for the members of the pool ("vote binding" means that the members of the pool/trust have committed themselves in their contractual relationship to exercise their vote uniformly. In such a case, the pool leader/trustee can only cast one vote on behalf of all members).
The pool leader can be a person who is already a member of the Fides account or can be newly added:
The newly created pool will now be visible at the bottom of the Cap Table:
Step 2: Add shareholders
You can now assign newly added shareholders directly to the pool/trust. For existing shareholders, please click on the three-dot menu next to the shares of the respective shareholder to assign them to a pool/trust.
The voting rights of the pool will change in percentage according to the voting rights of the added shareholders.
To add a trust, follow the same steps as for a pool.
Step 3: Voting within pool/trustee
By creating a pool/trustee, a new will committee will also be created. This means that resolutions can be made within the pool/trustee committee via Fides. In this way, the pool leader/trustee can determine what the decision of the majority in the group is.
Step 4: Voting in a shareholders resolution through pool/trust
If, on the other hand, a shareholder resolution is created, only the pool leader/trustee is addressed to represent the members, not the individual members. Once the resolution is sent out for voting & signing via Fides, the pool leader/trustee will receive an email to vote and sign on behalf of all members of the pool.
