Legal Onboarding: Services in Scope

The Legal Onboarding service allows Fides' legal team to review your corporate documents, extract the relevant information, and set up your Fides account on your behalf. As part of the Legal Onboarding process, we provide the following services:

Member Management

We will create the following user accounts for you, provided you supply the required information: 

  • Managing director(s)
  • Beneficial owner(s)
  • The person designated by your organization to administer the Fides account (i.e. complete the onboarding process and maintain the account on an ongoing business).

To create these user accounts, we require each person's full name and email address. If you prefer not to provide this information, you can create these users yourself at a later stage.

Cap Table

We create your Cap Table by entering your shareholders and their shareholdings into Fides. This information is then automatically reflected in the Structure Chart and the Shareholder Committee, eliminating the need for manual data entry.

Creation of committees

We set up all legally required committees (e.g. the Shareholders’ Meeting and the Management Board).

If your corporate documents establish additional committees and assign them specific responsibilities (e.g. an advisory board whose approval is required for certain decisions), we will create those committees as well. Upon request, we can also add committee members if you provide their names and email addresses.

Tasks 

We create tasks to help you complete the onboarding process. In addition, we review your corporate documents to identify relevant obligations and create the corresponding tasks in Fides.

The only thing you need to do is tailor these tasks to your organization, for example by setting the relevant deadlines.

Data Room 

We upload all documents submitted as part of the Legal Onboarding process to your Fides account.

Structure Chart

  • We create all group companies that are included in the scope of the Legal Onboarding service. For these companies, all of the services described above apply.
  • Companies that are not included in the Legal Onboarding service will also appear in the Structure Chart. However, the additional information and setup described above will not be completed for those companies and must instead be entered as part of the General Onboarding process. For more information, please refer to the FAQ General Onboarding.

Note: We can only extract information from the documents you provide by the agreed Legal Onboarding deadline. Please ensure that you submit the most up-to-date versions of all relevant corporate documents so they can be taken into account during the Legal Onboarding process.

Please also note that the price of the Legal Onboarding service may vary depending on the number of companies included and the volume and complexity of their corporate documentation.
