Legal Onboarding: Services in Scope

The "Legal Onboarding" is a service provided by Fides to its customers in which the legally trained Fides-personnel is reviewing all of the corporate documents of the customer to extract the relevant information and set up the account on behalf of the customer. We provide the following services for you as part of the legal onboarding process:

Member Management

We will create the following users for you if you provide us with the necessary information:

  • the managing director(s)
  • the beneficial owner(s)
  • the person designated by the customer to take over the administrative management (i.e. to complete the Onboarding and to maintain the Fides page in the ongoing business).

The information required from these individuals for this purpose includes their full name and their email address. If you prefer not to share this information, that's perfectly fine. In this case, you may also create these members yourself afterwards.

Cap Table

We create the Cap Table for you, i.e. we enter the shareholders and their shareholdings into Fides. These are automatically mapped in the Structure Chart and in the Shareholder Committee - so no manual process is necessary anymore.

Creation of committees

We set up the legally required committees (e.g. shareholders' meeting, management). If there are certain additional committees, we will only create them if the provided documents stipulate certain obligations for them (e.g. decisions requiring the approval of an advisory board). We're happy to add members if the customer provides their names and email addresses.

Tasks 

We create tasks that support you in finalizing the Onboarding. In addition, we filter the corporate documents of the customer for tasks and add these to Fides. The only thing you need to do as a customer is to individualize them, i.e. defining the relevant deadline.

Data Room 

We will upload the documents submitted to us into Fides for you. 

Structure Chart

  • We create the Group companies that are covered by Legal Onboarding. For these, the explanations under the above items apply accordingly. 
  • All other companies that are not part of the Legal Onboarding will also be included in the Structure Chart. However, all additional information (as displayed under the above items) will not be covered and are subject to onboarding in general ("General Onboarding"). Note: We expressly point out that we obtain the information exclusively from the documents that we have received from you for the purposes of Legal Onboarding by the respective agreed deadline. Therefore, please make sure that you provide us with the most recent versions of all documents that you would like us to consider within the Legal Onboarding. 

We would also like to expressly point out that the price for Legal Onboarding may vary, depending on the number of companies covered by Legal Onboarding and the scope of the companies' corporate documents.
